Brad Garlinghouse Questions Saylor’s Bitcoin Buying Strategy

Ripple CEO says Saylor’s Bitcoin funding strategy relies too much on financial engineering.

Ripple CEO says long-term value should come from utility, not financial engineering

Ripple CEO Brad Garlinghouse has taken aim at Michael Saylor’s strategy of funding additional Bitcoin purchases through capital raises, arguing that the approach relies too heavily on financial engineering rather than creating lasting value.

Speaking during a CNBC interview, Garlinghouse said assets ultimately succeed because they provide real-world utility, not because companies continually issue new securities to buy more Bitcoin.

“Financial engineering does not drive long-term value… long-term value of any digital asset is going to be driven by utility.”

Despite his criticism, Garlinghouse made it clear that he remains positive on Bitcoin itself.

Strategy Faces Growing Investor Scrutiny

Garlinghouse also pointed to the performance of Strategy’s STRC preferred shares, which have traded well below their $100 face value. He suggested the decline reflects growing investor concerns over the company’s financing model.

Over the past year, Strategy has repeatedly raised capital through preferred stock offerings to expand its Bitcoin holdings. Those securities also carry dividend obligations, increasing the company’s long-term financial commitments.

The company is also facing additional pressure. CryptoQuant recently suggested Strategy should prioritize strengthening its cash position instead of continuing to buy more Bitcoin. Meanwhile, Rosen Law Firm has launched an investigation into whether the company made misleading disclosures to investors, potentially paving the way for a shareholder lawsuit.

Insider Sales Add to Concerns

Investor attention has also shifted toward insider activity. SEC filings show Strategy director Jarrod Patten recently sold 1,500 Class A shares immediately after exercising stock options. Over the past three months, he has reportedly sold around 55,750 shares worth roughly $9 million.

Even with these developments, market data does not indicate expectations of an immediate crisis. Research from Anchorage Digital found that while investors remain cautious, options markets are not pricing in the type of stress typically associated with fears of a major breakdown in Strategy’s business.
