SOL Strategies has taken a major step to boost its position in the Solana space by preparing a $1 billion shelf prospectus. This legal filing essentially gives the firm the green light to raise capital at any time, through shares, debt, or other financial tools, without needing new approvals for each move.
This isn’t about raising money right now. Instead, it’s a proactive play, a way to stay nimble and ready to strike when the right Solana-related investment appears.
“The filing of a base shelf prospectus supports our growth strategy by providing us with the flexibility to access capital as future opportunities arise in the rapidly evolving Solana ecosystem,”
said Leah Wald, CEO of SOL Strategies.

In short, the company is arming itself with the legal and financial infrastructure to move fast when market conditions align, something that’s increasingly important in the fast-moving world of blockchain.
No immediate offerings are planned, but the door is now wide open.

SOL Strategies, formerly known as Cypherpunk Holdings, has built its entire investment thesis around Solana. The company is listed on the Canadian Securities Exchange under the ticker HODL and is focused on supporting decentralized applications and tools being built on the Solana network, which is known for its speed and low costs.
This new shelf follows their earlier move in April, when they secured a $500 million convertible note to further build their Solana position. The latest filing, made across all Canadian provinces and territories, allows the firm to issue securities like common stock, warrants, or bonds as needed. Back in December, SOL Strategies acquired a set of Solana validators, now overseeing over $407 million in staked assets at a 9% APY, reinforcing their presence in the ecosystem and adding a reliable income layer through staking rewards.
Solana continues to rank among the top digital assets by market cap. As of today, it’s trading at around $172, with a total valuation near $90 billion.
